WELCOME to the DiviUp Website created by Interactive Broadcast Network, LLC, IBN, a California Limited Liability Company.
As discussed in the DiviUp Litepaper, DiviUp is a Ground-Breaking User-Owned Decentralized Video Streaming Economy Built on Bitcoin. The DiviUp platform will be an ecosystem for content creators with many attributes that empower users. More significantly, DiviUp will be built upon the Stacks blockchain open-source computing network which provides a decentralized alternative to traditional cloud computing, with all the powers of Bitcoin.
IBN is one step in the creation of DiviUp. IBN has created the DiviUp Website, DiviUp Roku Channel on Roku, the DiviUp Marketing Apps and the DiviUp websites including / DiviUp TV, DiviUp.org and IBN360.com, all herein, the DiviUp Network.
The DiviUp Founders Association, a California entity is another step in the creation of DiviUp. Upon joining the DiviUp Network and upon acceptance of the terms of the DiviUp Founders Association International Agreement you will become a member of the DiviUp Founders Association and shall have rights therein as provided in the DiviUp FoundersAssociation Governance Rules, attached to that Agreement.

By joining the DiviUp Network you are allowed to watch, to load, share and distribute digital content.
As a Content Creator who is submitting content for distribution on the DiviUp Network, you agree to the terms of the Content License Agreement accompanying the DiviUp Founders Association International Agreement.
Your use of this Network is thus subject to the above terms, the Content License Agreement (if You are a Content Creator who is submitting content to DiviUp), the DiviUp Founders Association Agreement, and the accompanying Policies concerning:

BENEFITS
You can earn points based on a variety of actions that will be posted on our member site including influencing, mentoring, voting, posting, uploading content and the like; as periodically approved by the members of the DiviUp FA which will one day become the DiviUp Digital Asset Foundation.
TERMINATION
- By you
You may terminate this Service at any time and, if you are a Content Creator, have all of your content removed from The Service by providing written notice to IBN or DiviUp.
- By IBN or DiviUp
IBN or DiviUp may terminate and remove all of your content if we believe in our sole discretion that you or your content violates any of the above policies or in any way copies another’s content without permission
PROPRIETARY RIGHTS
The DiviUp Website / DiviUp App is proprietary to IBN and protected by trademark and other laws of the United States. You may not remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the DiviUp Website / DiviUp App or from any content provided.
DISCLAIMER
OTHER THAN AS EXPRESSLY STATED IN THIS AGREEMENT OR AS REQUIRED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND DIVIUP DOES NOT MAKE ANY SPECIFIC COMMITMENTS OR WARRANTIES ABOUT THE SERVICE.
LIMITED LIABILITY
EXCEPT AS REQUIRED BY APPLICABLE LAW, DIVIUP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES CAUSED BY:
ERRORS, MISTAKES, OR INACCURACIES ON THE SERVICE;
ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE;
ANY INTERRUPTION OR CESSATION OF THE SERVICE;
ANY VIRUSES OR MALICIOUS CODE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY;
ANY CONTENT WHETHER SUBMITTED BY A USER OR DIVIUP, INCLUDING YOUR USE OF CONTENT; AND/OR
THE REMOVAL OR UNAVAILABILITY OF ANY CONTENT.
THIS PROVISION APPLIES TO ANY CLAIM, REGARDLESS OF WHETHER THE CLAIM ASSERTED IS BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
DIVIUP’S AND THE DIVIUP ROKU CHANNEL’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT OF POINTS THAT DIVIUP HAS PAID TO YOU BEFORE THE DATE OF YOUR NOTICE, IN WRITING TO DIVIUP, OF THE CLAIM; AND (B) USD $500.
INDEMNITY AND HOLD HARLESS
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless DIVIUP, its Affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (i) your violation of any term of this Agreement; (ii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iii) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.
ARBITRATION
Any controversy or claim arising out of or relating to this Agreement, or its breach, is to be settled by arbitration. The parties shall self-administer the arbitration and shall conduct the arbitration in accordance with the AAA Arbitration Rules then in effect.
GOVERNING LAWS, JURISDICTION & VENUE
All claims arising out of or relating to these terms, or the Service will be governed by California law, except California’s conflict of laws rules, and will be litigated exclusively in the federal or state courts of Orange County, California, USA. You and IBN consent to personal jurisdiction in those courts.
